These Terms of Service ("Terms") are between you and Finetron, LLC, a Utah limited liability company, doing business as SpecThis ("SpecThis", "we", "us", or "our"). By accessing or using the SpecThis service ("the Service"), you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.
SpecThis is a software development planning and specification tool that helps teams create structured work plans, track changes, and manage development workflows. The Service is provided as a software-as-a-service (SaaS) platform accessible via web browser.
We strive to maintain a high level of service availability and aim for 99.5% monthly uptime, excluding scheduled maintenance and circumstances beyond our reasonable control. "Downtime" means the Service is unavailable for access and use. Scheduled maintenance windows will be announced in advance when possible. In the event we fail to meet this availability target, you may be eligible for service credits as your sole and exclusive remedy. Service credits, if applicable, will be calculated as a percentage of your monthly subscription fee and will not exceed one month's fees. To request service credits, you must contact us at support@specthis.ai within 30 days of the incident with documentation of the downtime experienced.
To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You must be at least 18 years old to use the Service. By creating an account, you represent and warrant that you meet this age requirement.
You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to maintain the security of your account.

The Service is offered through various subscription plans with different features and pricing. Pricing and plan details are available on our website.
Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your plan). All fees are non-refundable except as required by law or as explicitly stated in these Terms.
Payment processing is handled by Stripe, a third-party payment processor. By providing payment information, you authorize us to charge your payment method for all fees incurred.
We reserve the right to modify our pricing at any time. We will provide at least 30 days' notice of any price increases to existing subscribers. Continued use of the Service after the price change constitutes acceptance of the new pricing.
Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. We will send you a renewal reminder via email at least 30 days before your subscription renews. The renewal reminder will include the renewal date, the amount to be charged, and instructions for canceling if you choose not to renew. You may cancel your subscription at any time through your account settings or by contacting us at support@specthis.ai. Cancellations must be made before the renewal date to avoid being charged for the next billing period.
You may cancel your subscription at any time through your account settings. Cancellation will be effective at the end of your current billing period. You will continue to have access to the Service until the end of the paid period.
We offer a 14-day money-back guarantee for new subscribers. If you are not satisfied with the Service, you may request a full refund within 14 days of your initial purchase. Refunds for subsequent billing periods are not available except as required by law.
The Service, including all software, content, designs, and trademarks, is owned by Finetron, LLC d/b/a SpecThis and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.
You retain all ownership rights to any content you create or upload to the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive, non-transferable license to host, store, display, and process Your Content solely as necessary to provide the Service to you. We will not sell, share, or use Your Content for any purpose other than providing the Service, except that we may use anonymized and aggregated data derived from Your Content for analytics, service improvement, and product development. This anonymized data will not identify you or Your Content specifically. You are solely responsible for Your Content and the consequences of uploading or publishing it.
If you provide feedback or suggestions about the Service, we may use that feedback without any obligation to you.
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to our data practices as described in the Privacy Policy.
We use third-party service providers ("Sub-processors") to help us deliver the Service, including payment processing (Stripe), email communications (Loops), and cloud hosting infrastructure. By using the Service, you authorize us to engage these Sub-processors to process data on our behalf in accordance with our Privacy Policy and applicable data protection laws. We maintain commercially reasonable security measures and require our Sub-processors to implement appropriate technical and organizational measures to protect your data. We may update our Sub-processors from time to time and will provide notice of material changes when required by applicable law.
We implement industry-standard security measures to protect your data, including encryption of data in transit using TLS 1.2 or higher, encryption of data at rest, role-based access controls, regular security audits, and secure authentication mechanisms. While we strive to protect your information, no method of transmission or storage is 100% secure, and we cannot guarantee absolute security. In the event of a data breach that affects your personal information, we will notify you in accordance with applicable law, typically within 72 hours of becoming aware of the breach. Notifications will be sent to the email address associated with your account and will include information about the nature of the breach, the data affected, and steps we are taking to address the issue.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not guarantee that the Service will be uninterrupted, secure, or error-free. We may modify, suspend, or discontinue the Service at any time without notice.
We will not be liable for any failure or delay in performing our obligations under these Terms if such failure or delay is due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, epidemics, strikes, fuel crises, internet or telecommunications failures, or cyberattacks. During any period in which such circumstances exist, our performance obligations will be suspended, and the time for performance will be extended for the duration of such circumstances.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FINETRON, LLC D/B/A SPECTHIS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless Finetron, LLC d/b/a SpecThis and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising from or relating to your use of the Service, Your Content, or your violation of these Terms.
You may terminate your account at any time by canceling your subscription through your account settings.
We may suspend or terminate your account at any time if you violate these Terms or engage in conduct that we determine, in our sole discretion, is harmful to the Service or other users. We may also terminate inactive accounts without notice.
We reserve the right to temporarily suspend your access to the Service, without prior notice, in the following circumstances: (a) failure to pay fees when due; (b) violation of the Acceptable Use Policy; (c) activities that pose a security risk to the Service or other users; (d) excessive resource consumption that impacts Service performance; or (e) investigation of suspected fraudulent or illegal activity. During any suspension period, you will not have access to the Service, but Your Content will be preserved. We will provide notice of suspension and an opportunity to remedy the issue when reasonably possible. Suspensions do not relieve you of your payment obligations during the suspension period. If the issue causing the suspension is not resolved within 30 days, we may terminate your account in accordance with Section 12.2.
Upon termination, your right to use the Service will immediately cease. You may request an export of Your Content within 30 days of termination by contacting us at support@specthis.ai. We will provide your data in a commonly used, machine-readable format (such as CSV or JSON) within 30 days of your request. You may not make more than two data export requests in any 12-month period. After the 30-day export window has expired, we may permanently delete Your Content from our systems, including all backups, and will have no obligation to retain or provide Your Content. Provisions of these Terms that by their nature should survive termination will survive, including but not limited to: ownership provisions, warranty disclaimers, indemnification obligations, limitations of liability, and dispute resolution provisions.

If the dispute cannot be resolved informally, you agree that any dispute arising from or relating to these Terms or the Service will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, rather than in court. Each party will bear its own costs of arbitration.
You agree to resolve disputes with us on an individual basis and waive your right to participate in class actions or class arbitrations.
These Terms are governed by and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict of law provisions.
We may modify these Terms at any time to reflect changes in our Service, legal requirements, or business practices. We will notify you of material changes by sending an email to the address associated with your account and by posting a notice within the Service at least 30 days before the changes take effect. Material changes include modifications to pricing, payment terms, data usage, liability limitations, or dispute resolution procedures. Non-material changes (such as clarifications, formatting updates, or contact information changes) may take effect immediately upon posting. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you may terminate your account in accordance with Section 12.1 before the changes take effect, and you will not be bound by the modified Terms.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and SpecThis regarding the Service.
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
You may not assign or transfer these Terms or your account without our prior written consent. We may assign our rights and obligations without restriction.
